1. Acceptance of Terms
By accessing the website at designedbyanthony.com (or the homepage) or engaging Designed by Anthony for custom web design, website rescue, local SEO, hosting, or consulting services, you agree to be bound by these Terms of Service. If you do not agree with any of these terms, you are prohibited from using or accessing this site or our services.
2. Scope of Services
Designed by Anthony provides premium digital infrastructure services. The specific scope, deliverables, timelines, and costs for any web development or local SEO project will be explicitly outlined in a separate statement of work, proposal, or written agreement provided to the client prior to the commencement of engineering.
3. Client Responsibilities
To ensure the timely and successful delivery of our services, you agree to:
- Provide all necessary access to existing hosting environments, domain registrars, and third-party software credentials safely and securely as required.
- Deliver all requested content, including text, imagery, and branding assets, in a timely manner.
- Validate that any materials provided to us do not infringe on the intellectual property rights or copyrights of third parties.
4. Financials and Payments
Unless otherwise specified in a formal proposal, custom web design projects require a standard 50 percent upfront deposit to secure scheduling and commence development. The remaining balance is due upon project completion, prior to the website being formally launched on your live production domain.
Monthly services such as managed hosting, maintenance, and ongoing SEO are billed recursively. Failure to remit payment within 15 days of the invoice date may result in a suspension of services or hosting until the account balance is satisfied. All fees and deposits are non-refundable once engineering or scoping work has commenced.
5. Intellectual Property and Final Ownership
Upon receipt of full and final payment, the client assumes full ownership of the final website deliverables, including the visual design format, written content, and the compiled frontend application.
Designed by Anthony retains the overarching intellectual property rights to any pre-existing custom frameworks, infrastructure scripts, algorithms, or proprietary codebases developed independently and utilized to power the project. We also reserve the right to display the completed project in our professional portfolio and marketing materials unless a strict non-disclosure agreement is executed prior to the project's start.
6. Limitation of Liability
In no event shall Designed by Anthony, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of the service, the conduct or content of any third party on the service, or any unauthorized access, use, or alteration of your transmissions or secure content.
7. Warranties and Guarantees
We build sound, high-performance websites according to modern industry standards. However, software and search algorithms operate in an evolving ecosystem. We do not guarantee that your website will remain permanently unaffected by third-party API deprecations, major browser shifts, or evolving Google SEO updates. If you are subscribed to our managed hosting plan, our team will proactively apply architecture adjustments and security patches on your behalf to mitigate these shifts.
8. Termination of Services
Either party may terminate a project agreement by providing written notice. If the client terminates a custom project early, Designed by Anthony retains the initial deposit and reserves the right to invoice for any additional hourly labor completed beyond the deposit cover. Designed by Anthony reserves the right to terminate services immediately for violations of these Terms, non-payment, or abusive behavior.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
